SSA Global To Acquire Epiphany

SSA Global Technologies, Inc., a provider of extended enterprise solutions and services, today announced a definitive agreement to acquire CRM software provider Epiphany in an all-cash transaction valued at approximately $329 million.

Under the terms of the agreement, which has been approved by the boards of directors of both companies, each Epiphany stockholder will have the right to receive an amount of cash equal to $4.20 per share. The acquisition is subject to customary closing conditions, including approval of the transaction by Epiphany's stockholders and receipt of regulatory approvals.

SSA Global�believes that Epiphany will benefit from SSA Global’s expansive distribution network that reaches more than�90 countries worldwide. Both companies serve the midmarket and large global enterprises.

Epiphany provides a CRM suite of products that includes sales, service, marketing and customer analytics. These applications are based on a similar services-oriented architecture as SSA’s recently released SSA Technology Architecture. The combined architecture is aimed at providing the flexibility to integrate with existing enterprise applications and to quickly tailor solutions for specific industries.

The transaction is expected to close in approximately eight to twelve weeks and is subject to customary closing conditions, including approval by Epiphany's shareholders and regulatory approvals.
