Shift Announces Closing of $5.2 Million Equity Financing

Calgary, Canada, June 14, 2006 – Shift Networks Inc. (TSX-V:SHF), announced today that the Corporation closed a brokered private placement (“Private Placement”) of units (“Units”), subject to regulatory approval, which raised $5,200,000, an increase from the $5,000,000 previously announced.  The Corporation issued 34,666,667 Units at $0.15 per Unit.  Each Unit consisted of one common share and one-half of one common share purchase warrant.  Each common share purchase warrant is exercisable into one common share at a price of $0.18 until June 14, 2008.

Loewen, Ondaatje, McCutcheon Limited acted as lead agent for this Private Placement, and received a cash commission and Agent’s Warrants.  Each Agent’s Warrant is exercisable until June 14, 2006 into one Unit at a price of $0.15 per Unit.  Each Unit consists of one common share and one-half of one common share purchase warrant exercisable into one common share at a price of $0.18 until June 14, 2008.

The Units issued pursuant to the private placement are subject to a four month hold period.  Shift intends to use the proceeds of the Private Placement as follows:

-    accelerate expansion into Eastern Canada, specifically Toronto, and continue to fund growth in Calgary, Edmonton and Vancouver;
-    deploy new network technology to increase margins, features and services; and
-    reduce demand barriers with lower priced telephone handsets bundled with monthly service.

Shift Announces Strong Revenue and Margin Growth in First Quarter 2006


CALGARY, May 30, 2006; Shift Networks Inc. (TSX-V:SHF, Shift, or the Company) a leading
provider of hosted IP communications services for small to medium sized businesses today
reported strong revenue growth in its first quarter, 2006 financial results.

Revenues for the three-month period ended March 31, 2006 grew over 300% to C$495,460, compared to revenues of $158,371 in the first quarter of 2005. Contracted quarterly recurring revenue for ShiftVoice service grew over 1000% to $154,552 Q1 2006 from $15,104 Q1 2005. Operating margin on contracted recurring VoIP revenue increased to 54% versus previous quarters at 47%. The Company anticipates continued margin improvement as the Shift customer base continues to scale. Sales continued to increase over the last 3 months as a result of Shift’s continued investment into distribution and sales capacity and growing customer interest and adoption. Management expects growth to continue to accelerate as additional direct sales personnel, indirect distribution partners, and new markets such as Vancouver continue to gain traction.

"Shift’s growth is a function of investment in our sales channels, number of markets, and strength of service offering,” stated Shift President and CEO, Trent Johnsen. "Shift is seeing increasing client opportunities with the addition of Vancouver as the third major market from companies with multiple locations. We are also experiencing pent-up demand for service in Toronto and have work in progress to offer service there.”

Sales and marketing expenses for the quarter increased in line with sales growth. The Company estimates an approximate six month cycle from addition of sales personnel to consistent subscriber revenue loading, comprised of 60 to 90 days training and lead development for new sales reps and dealers, followed by an average 60 to 90 day sales cycle.

As a result of Shift’s increased investments in sales and distribution personnel through the fall of 2005, new subscriber loads increased from 365 in the fourth quarter, 2005, to over one thousand new subscribers in the first quarter of 2006. Over 40% of subscriber line activations were the result of independent Shift dealer activity. During the first quarter the Company completed a fully subscribed $2,000,000 brokered private placement ("Private Placement").

The Corporation issued 20,000,000 Units at $0.10 per Unit. Each Unit consisted of one common share and one share purchase warrant. Each share purchase warrant is exercisable into one common share at a price of $0.14 until January 12, 2008. Proceeds are being utilized to fund acceleration of the Company's sales and marketing initiatives in Calgary, Edmonton and Vancouver as well as for inventory, provisioning, installation and general working capital. SMB VoIP is Growing in Canada

Shift is doing quite well, I am SO glad I joined when I didsmile SMB VoIP in Canada is on fire! Here is an exerpt from the press release put out today on recent growth numbers...

"We exceeded our subscriber target for the first quarter and booked over one million dollars in contracted revenues in a quarter for the first time. We've also launched Shift in our third major western market, Vancouver, western Canada's largest market. Vancouver just opened in late March and over 10% of our new subscribers signed this quarter are Vancouver clients," comments Trent Johnsen, Shift President and CEO.

VON Canada - I've been to the edge...

I went from the plane directly to the hotel. Checked in and dropped my bags behind the counter. Trent was waiting, we had a serious mission that needed our attention immediately upon my arrival in Toronto.

We had two tickets to see the Jays and Twins in the season opener at Rogers Centre, yes we have our priorities straight, dead on. There we met with our partners from Natural Convergence, who says you can't mix business with pleasure.

The next morning started early, breakfast at 6:30am, 3:30am Vancouver time.. needless to say I was a little slow to get started. Our 7:30 meeting was downtown, just a few blocks from the hotel, with a certain financial group which went off well I thought.

From there I went to my VON presentation: SMB IP Market Opportunity which seemed to be well received, Jon Arnold did a great job moderating. Joining me on the panel were David Madelstam - Sangoma, Mahshad Koohgoli - Avaya P2P and Paul H. from Cisco. The pitch was pretty much the same across the board; cost, reliability, features, and simplicity. In my presentation, I coined this paradigm shift in the SMB space as SMB 2.0, I just couldn’t resist.

It certainly was a smaller show than San Jose but it was large compared to the VON Canada 2 years ago when Trent and I met up for that first ball game. On a sidebar, somebody said that they heard that Pulver and I do not get along. Maybe someone knows something I do not but from where I am sitting Jeff and I get along just fine, such a weird comment.

Trent and I grabbed a quick lunch with our bankers and then onward to the airport for a quick trip to Ottawa. I was supposed to be in a dinner meeting this eve (as I write this) but I opted out as I needed to spend some quality time with my wife, if only by phone. Lisa has been waiting patiently in the shadows as I jet set around the continent tending to Shift business.

My wife deserves better. Don't get me wrong, I love my job but I love my wife and son more. Tomorrow we are in meetings all day here and then back on a plane to Vancouver to deal with some business and record the Analyst Perspective podcast there before the weekend sets in.

Thanks to everyone who made it out to VON Canada, it was great to see that showing of support for IP Communications in Canada.

When it comes to Internet phone services for small to medium businesses, Trent Johnsen sees his Alberta-based company Shift Networks as the barbarians at the gate of the major telephone and cable companies.

And, as of today, Shift -- which previously only offered voice over IP (VoIP) service to firms in Calgary and Edmonton -- arrives in Vancouver, the home territory of telco giant Telus.

Shift's intent, over time, said Johnsen, the company's CEO, is to become the WestJet of the telecom industry with the company's offering of $25-a-seat-per month VoiP service to firms with from five to 200 phones.
